1. ACCEPTANCE OF TERMS
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
If you are using the Service on behalf of a business or organisation, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity.
2. DESCRIPTION OF SERVICE
Biz Edge provides a cloud-based Software-as-a-Service (SaaS) platform for retail and inventory management, including but not limited to:
- Point of Sale (POS) transaction processing
- Inventory tracking and stock management
- Sales reporting and analytics
- Customer and vendor management
- Purchase order and invoice management
- Multi-branch and multi-store operations
- User role management and access control
3. ACCOUNT REGISTRATION
To use the Service, you must register and create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your login credentials confidential and secure
- Notify us immediately of any unauthorised use of your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that contain inaccurate or fraudulent information.
4. SUBSCRIPTION AND PAYMENT
4.1 Subscription Plans
The Service is available under various subscription plans as listed on our Pricing page. Features, limitations, and pricing vary by plan. We reserve the right to modify plans and pricing at any time with reasonable prior notice.
4.2 Billing and Payment
Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. All payments are processed through our authorised payment gateway. You agree to provide valid payment information and authorise recurring charges.
4.3 Refund Policy
Subscription fees are generally non-refundable. However, if you believe you are entitled to a refund due to a billing error or service issue, please contact our support team within 7 days of the charge at info@valinno.com.
4.4 Late Payment and Suspension
If payment is not received by the due date, we may suspend your access to the Service. Continued non-payment may result in account termination and deletion of data, subject to our data retention policies.
5. ACCEPTABLE USE
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right
- Upload or transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorised access to any part of the Service
- Reverse engineer, decompile, or disassemble any part of the Service

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes, subject to these Terms.
You retain all rights to the data you input into the Service. By using the Service, you grant us a limited licence to process, store, and display your data solely for the purpose of providing the Service to you.
7. DATA AND SECURITY

While we strive to protect your data, no method of electronic storage or transmission is 100% secure. You acknowledge and accept this inherent risk when using the Service.

- You may request a copy of your data within 30 days of termination
- After 30 days, your data may be permanently deleted from our systems
- Any outstanding fees remain payable
We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or engage in conduct that we determine is harmful to the Service, other users, or third parties.
10. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Biz Edge Point of Sales Limited, its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, business opportunities, or goodwill, arising out of or related to your use of the Service.
Our total liability for any claim arising under these Terms shall not exceed the total amount paid by you to Biz Edge in the twelve (12) months immediately preceding the event giving rise to the claim.
11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Biz Edge Point of Sales Limited and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.
12. DISCLAIMER OF WARRANTIES
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or free from harmful components.
13. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Lagos State, Nigeria.
Before pursuing formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least thirty (30) days.
14. CHANGES TO THESE TERMS
We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by email or through a prominent notice within the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
15. GENERAL PROVISIONS
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Biz Edge regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Force Majeure: We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or internet service disruptions.
